Media reports have suggested that more than 20 executives of the two companies — CNR Corp Ltd and CSR Corp Ltd — and their relatives have been found to have bought and sold stocks in each company during the six-month period prior to their trading suspension in October last year before the announcement of the merging plan.
媒體報(bào)道指出,在宣布南北車合并計(jì)劃前,中國南車股份有限公司和中國北車股份有限公司超20名高管及其親屬在去年十月停牌前六個(gè)月間買賣各自或?qū)Ψ焦善薄?/p>
“停牌”的英文表達(dá)是trading suspension。停牌是指股票由于某種消息或進(jìn)行某種活動(dòng)引起股價(jià)的連續(xù)上漲或下跌,由證券交易所暫停其在股票市場上進(jìn)行交易。待情況澄清或企業(yè)恢復(fù)正常后,再復(fù)牌在交易所掛牌交易。“復(fù)牌”的英文表達(dá)是resume trading。
南北車高管此舉被指涉嫌insider trading(內(nèi)幕交易),給南北車雙方的合并蒙上了陰影。南北車合并的目的是為了避免兩者在國際市場上的price competition(價(jià)格戰(zhàn))。合并有利于優(yōu)化兩者的technological edges, human capital and production capacity(技術(shù)優(yōu)勢(shì)、人力資本和生產(chǎn)能力)。
